QCoreTalk Terms of Service
1. Services
QCoreTalk provides cloud communications and AI-enabled telephony services, including but not limited to: telephone number (DID) provisioning; inbound and outbound voice calls; SMS messaging; call detail records (CDRs); prepaid account balance and billing; AI voice agents and knowledge-base automation; web-based customer portals; and related APIs and integrations. Services are delivered in whole or in part through upstream carriers and technology partners (including Telnyx, SignalWire, Stripe, and others). Features may change, be added, or discontinued with reasonable notice where practicable.
2. Account & Registration
You must provide accurate, current, and complete registration information and keep it updated. You are responsible for safeguarding credentials, API tokens, SIP passwords, and portal access. All activity under your account is your responsibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to open an account. We may refuse, suspend, or terminate accounts at our discretion for fraud, abuse, regulatory risk, or violation of this Agreement.
3. Prepaid Billing, Charges & Taxes
QCoreTalk operates primarily on a prepaid balance model unless otherwise agreed in writing. You authorize us to deduct usage charges in real time or near real time, including per-minute voice rates, per-message SMS fees, monthly DID recurring charges, AI usage, and applicable surcharges. Prices are published in the portal or checkout and may change on notice.
- Pass-through fees: Carrier, regulatory, A2P campaign, STIR/SHAKEN, toll-free origination, international termination, and similar upstream charges may be passed through to you.
- Insufficient balance: If your balance reaches zero or below, inbound calls, outbound calls, SMS, and AI services may be suspended or rejected immediately without liability.
- Taxes: You are responsible for all applicable taxes, duties, and government assessments unless we are legally required to collect them.
- Refunds: Except where required by law, prepaid balances and usage charges are non-refundable once consumed or after 30 days from purchase.
Card payments are processed by Stripe or other PCI-compliant processors. By paying, you also agree to the processor’s terms. Failed payments may result in immediate service suspension.
4. Acceptable Use
You must comply with our Acceptable Use Policy and all applicable laws. You are solely responsible for the content, timing, recipients, and purpose of communications you initiate. QCoreTalk acts as a conduit for communications and does not originate message content or select recipients on your behalf.
5. SMS, MMS & A2P 10DLC Compliance (U.S.)
If you send SMS or MMS to U.S. numbers, you agree to:
- Register brands and campaigns as required under A2P 10DLC rules (The Campaign Registry / CTIA guidelines).
- Send only messages for which you have obtained valid prior express consent (and prior express written consent where required).
- Include clear opt-out instructions; honor STOP, UNSUBSCRIBE, and similar keywords promptly (within 10 business days maximum, sooner when practicable).
- Maintain consent records and provide them to us or carriers upon request.
- Not send SHAFT content (sex, hate, alcohol, firearms, tobacco) or other prohibited categories defined by carriers.
We may suspend SMS immediately for traffic spikes, spam complaints, high error rates, or carrier flags.
6. TCPA, Telemarketing & Do-Not-Call
For U.S. calls and texts subject to the Telephone Consumer Protection Act (TCPA) and related rules, you agree to:
- Obtain legally sufficient consent before autodialed, prerecorded, or artificial-voice calls/texts to wireless numbers.
- Scrub against the National Do-Not-Call Registry and maintain internal DNC lists.
- Honor opt-out requests immediately.
- Not use our Services for unsolicited bulk telemarketing without compliant consent frameworks.
You indemnify QCoreTalk against TCPA, TSR, and state telemarketing claims arising from your campaigns.
7. Caller ID, STIR/SHAKEN & Traceback
You must transmit accurate, non-misleading caller identification. You may not spoof numbers you do not own or have authority to use. You agree to cooperate with industry traceback requests (e.g., USTelecom Traceback Group) and lawful traceback inquiries related to suspicious or illegal robocalls. Where STIR/SHAKEN attestation is provided, it reflects carrier classification only and does not guarantee call completion or answer rates.
8. Emergency Services (E911) Disclaimer
QCoreTalk is not a replacement for traditional telephone service. VoIP and cloud services may not support emergency calling in all locations, may not provide automatic location to public safety answering points, and may fail during power or internet outages. You are responsible for maintaining alternate means of reaching emergency services (911/112). Do not rely solely on QCoreTalk for life-safety communications.
9. Call Recording, Monitoring & AI Processing
If you enable call recording, transcription, AI analysis, sentiment scoring, or AI voice agents, you are solely responsible for obtaining all required party consents under applicable wiretap, eavesdropping, and privacy laws (including one-party and all-party consent states in the U.S., and equivalent laws abroad). You must provide clear notice to callers when calls are recorded or handled by AI. You indemnify us against claims arising from failure to obtain consent.
10. AI Voice Agents
AI agents must identify themselves as automated/AI when required by law or carrier policy. You may not design agents to impersonate government officials, emergency services, or specific real persons without authorization. You remain responsible for prompts, knowledge bases, and outputs. AI responses may be inaccurate; you must implement human escalation where appropriate.
11. Telephone Numbers (DIDs) & Porting
Number availability is not guaranteed until provisioned. You do not own telephone numbers; you receive a revocable right to use them while in good standing. Porting in or out requires valid LOA authorization and may incur fees. We may reclaim numbers for non-payment, prolonged inactivity, regulatory compliance, or carrier reclamation policies.
12. CPNI (Customer Proprietary Network Information)
We protect CPNI as described in our Privacy Policy and applicable FCC rules. You may not use another customer’s call records or account data without authorization.
13. Suspension & Termination
We may suspend or terminate Services immediately for: non-payment; suspected fraud or toll fraud; AUP violations; carrier mandates; legal process; or risk to network integrity. Upon termination, you remain liable for accrued charges. You may close your account when balance obligations are satisfied.
14. Warranties & Disclaimers
SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE, OR SPECIFIC CALL/SMS DELIVERY, ATTESTATION LEVELS, OR AI ACCURACY.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QCORET AND ITS CARRIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA. OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE CLAIM, OR (B) USD $500.
16. Indemnification
You will defend, indemnify, and hold harmless QCoreT, its officers, partners, and upstream carriers from claims, fines, penalties, and costs (including attorneys’ fees) arising from your use of Services, your content, your campaigns, consent failures, regulatory violations, or breach of this Agreement.
17. Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control, including carrier outages, internet failures, natural disasters, war, government actions, or hacking attacks.
18. Upstream Carrier Terms
Services depend on third-party carriers and platforms. Their acceptable use policies, API terms, and regulatory requirements are incorporated by reference where applicable. Conflicts are resolved in favor of stricter compliance requirements.
19. Governing Law & Disputes
This Agreement is governed by the laws of the Dominican Republic, without regard to conflict-of-law principles, except that mandatory telecommunications and consumer protections in your jurisdiction may apply where required. Disputes shall first be addressed through good-faith negotiation; if unresolved within 30 days, they may be submitted to competent courts in Santo Domingo, Dominican Republic, unless mandatory law provides otherwise.
20. Changes
We may update this Agreement by posting a revised version at talk.qcoret.com/legal/terms.php with a new effective date. Material changes will be communicated via portal notice or email where practicable. Continued use after the effective date constitutes acceptance.
